Service Terms & Client Agreement

These Service Terms outline the conditions under which Scarlett & Co. Ltd. (“Provider”) delivers services to its clients (“Client”). By purchasing services, the Client agrees to the following terms.

 

SCOPE OF SERVICES

Services will be delivered as outlined and agreed upon prior to purchase, including any details confirmed via written communication (e.g., email, proposal, or invoice).

Any requests or work outside of the agreed scope may require a separate agreement and/or additional fees.

PAYMENT TERMS

All payments are due in full prior to the delivery of services unless otherwise agreed in writing.

All fees are non-refundable. In limited circumstances, refunds may be issued at the sole discretion of the Provider.

The Client acknowledges that failure to complete payment may result in delays or suspension of services.

SCHEDULING & DELIVERY

Services must be scheduled in advance at a mutually agreed upon time.

The Client agrees to attend scheduled sessions and arrive prepared to participate. The Provider is not responsible for delays or missed outcomes resulting from the Client’s lack of preparation or participation.

 

RESCHEDULING & CANCELLATIONS

A minimum of 24 hours’ notice is required to reschedule any scheduled session.

Requests made with less than the required notice may be considered forfeited at the discretion of the Provider.

Either party may cancel services with reasonable notice. In the event of cancellation, the Client remains responsible for payment of all services already delivered or in progress.

No refunds will be issued for completed or partially completed services.

 

CLIENT RESPONSIBILITY & RESULTS

The Client acknowledges that they are responsible for their own decisions, actions, and results.

While the Provider delivers strategic guidance, recommendations, and support, no guarantees are made regarding specific outcomes, results, revenue, or business performance.

Results are dependent on many factors outside of the Provider’s control, including implementation, effort, and external conditions.

HOURS OF OPERATION & COMMUNICATION

Scarlett & Co.’s standard hours of operation are Monday to Friday, 9:00am – 5:00pm ET, excluding holidays.

Communication and support are provided within these hours unless otherwise agreed upon. While the Provider may, at their discretion, respond or deliver services outside of these hours, this should not be considered standard or expected.

The primary method of communication is via email and scheduled calls, unless alternative communication channels have been mutually agreed upon in advance.

The Client acknowledges and agrees to respect these boundaries as part of maintaining a sustainable and effective working relationship.

CONDUCT & PROFESSIONAL STANDARDS

Scarlett & Co. is committed to maintaining a respectful, supportive, and professional environment across all services, sessions, and interactions.

Clients are expected to engage in a manner that is respectful, constructive, and aligned with professional standards. Harassment, discrimination, offensive language, or any behaviour that is harmful, disruptive, or inappropriate will not be tolerated.

Clients also agree to respect the confidentiality and privacy of any shared information and to refrain from making defamatory or harmful statements about Scarlett & Co., its team, or other clients.

If, in the sole discretion of the Provider, a Client’s behaviour is found to be in violation of these standards, the Provider reserves the right to suspend or terminate services without notice.

In such cases, any refund or outstanding payment obligations will be determined at the discretion of the Provider.

 

CONFIDENTIALITY

Both parties agree to maintain the confidentiality of all proprietary, sensitive, or confidential information shared throughout the engagement.

Confidential information may only be used for the purpose of fulfilling the agreed services and may not be disclosed to third parties without prior written consent, unless required by law.

 

INTELLECTUAL PROPERTY

All materials, frameworks, tools, and content provided by the Provider remain the intellectual property of Scarlett & Co. Ltd.

The Client is granted a limited, non-exclusive license to use these materials for their own business purposes only.

The Client may not reproduce, distribute, share, or resell any materials without prior written permission.

 

LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Provider shall not be held liable for any direct, indirect, incidental, or consequential damages arising from the use of services.

In any case, liability is limited to the total amount paid by the Client for the services rendered.

 

NO WARRANTIES

Services are provided “as is” without any express or implied warranties.

The Provider does not guarantee specific results, business outcomes, or financial performance.

 

GOVERNING LAW

These terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.

Any disputes will be approached in good faith and, where possible, resolved through mediation prior to formal legal action.

ACCEPTANCE OF TERMS

By purchasing services from Scarlett & Co. Ltd., the Client acknowledges that they have read, understood, and agreed to these Service Terms.
